Terms and conditions
Scope
These terms apply to all offers, quotes and contracts between LoopSpare (“we”) and our customers. We supply only to businesses within the meaning of Section 14 of the German Civil Code (entrepreneurs). Sales to consumers are excluded.
Quote and contract
The catalog and website are not binding offers. A contract is formed when you accept our written quote, or when we confirm your order. The quote states the condition of the part, the warranty and the delivery time for each position.
Prices and payment
All prices are net in euros, excluding statutory VAT and shipping costs, unless the quote says otherwise. Payment is made in advance by bank transfer against our invoice. We ship after receipt of payment.
Delivery
Delivery is made directly by one of our supply partners to the delivery address you give. Delivery times in the quote are estimates unless expressly agreed as binding. We provide a tracking number where the carrier offers one.
Export control and sanctions
We do not supply to Russia, Belarus, Iran, North Korea, Syria and Cuba, and not to the occupied territories of Ukraine. With every request you declare that the parts are not intended for military use and will not be exported or re-exported to these countries or territories. You must comply with the applicable export control and sanctions law, including for any onward sale.
We may refuse or cancel a delivery, and withdraw from the contract, if an export licence is missing, if the declaration proves to be wrong or if sanctions law prevents the delivery. Claims for damages against us are excluded in this case.
Condition, origin and warranty
Parts are offered as refurbished, used or new surplus. Refurbished parts are reconditioned by the supplier. Used parts are pre-owned, and their condition is described in the quote. New surplus parts are unused. The parts come from independent suppliers and not from the manufacturer, and the manufacturer’s warranty does not apply. We document origin and condition and pass on the supplier’s test report where available. We do not promise that every part has been function tested. Warranty terms are stated in the quote. Without a stated warranty, the statutory rights apply, with the limits permitted for business customers.
Compatibility with your system is your responsibility. We help you check it on request but do not guarantee it unless confirmed in the quote.
Use, installation and safety functions
The parts may only be installed by qualified personnel. You are responsible for installation, commissioning, validation and recurring testing, and for safety systems in particular for the proof of the required safety integrity level (SIL) and for the proof tests according to the manufacturer’s instructions and your own safety procedures. We do not warrant that a part is suitable for a particular safety function or achieves a particular safety integrity level. The manufacturer’s instructions and the applicable safety regulations must be observed, in particular for turbine protection and emergency shutdown functions.
Liability
We are fully liable for intent, gross negligence, injury to life, body or health, and under the Product Liability Act. For slightly negligent breach of an essential contractual obligation, our liability is limited to the foreseeable damage typical for this type of contract. Otherwise liability is excluded as far as legally permitted. This applies in particular to consequential damage from plant downtime, production loss and loss of profit, and to damage to the plant caused by installing or operating a part in a safety related control system.
Retention of title
Delivered goods remain our property until full payment of the invoice.
Final provisions
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods, as far as legally permitted. Place of jurisdiction is Hanover, as far as legally permitted.
